1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of the software integration services ("Services") provided by eBooth Software, LLC ("eBooth," "we," "our," or "us"). By authorizing our application to access your Amazon Seller Central account through the Amazon Selling Partner API (SP-API), you ("you," "your," or "User") agree to be bound by these Terms.
If you do not agree to these Terms, do not authorize our application or use our Services.
2. Scope of Services
eBooth provides software integration services that enable authorized e-commerce businesses to:
- Manage orders and fulfillment operations
- Track shipments and delivery status
- Monitor inventory levels and product listings
- Generate operational reports and analytics
Our Services are provided exclusively to affiliated e-commerce businesses that operate their own Amazon Seller Central accounts. We do not offer services to the general public or unaffiliated third parties.
3. Eligibility
To use our Services, you must:
- Be an authorized representative of a business entity with an active Amazon Seller Central account
- Have the legal authority to grant access to your Amazon seller data
- Be at least 18 years of age
- Comply with all applicable laws and Amazon's policies
4. Account Authorization
4.1 Granting Authorization: You authorize our application to access your Amazon seller data by completing Amazon's official OAuth authorization process (Login with Amazon). This authorization grants us access to specific data categories as described in our Privacy Policy.
4.2 Scope of Authorization: You control which data permissions are granted to our application. We access only the data necessary to provide the Services you have authorized.
4.3 Revocation: You may revoke our application's authorization at any time through your Amazon Seller Central account settings. Revocation will immediately terminate our access to new data from your account. We will delete or anonymize stored data in accordance with our Privacy Policy.
4.4 Your Responsibility: You are responsible for maintaining the security of your Amazon Seller Central account credentials. You agree to notify us immediately of any unauthorized access to your account.
5. Acceptable Use
You agree to use our Services only for lawful purposes and in compliance with these Terms. You agree not to:
- Violate any applicable laws, regulations, or Amazon's policies
- Attempt to gain unauthorized access to our systems or other users' data
- Interfere with or disrupt the operation of our Services
- Use our Services to transmit malicious code, viruses, or harmful content
- Reverse engineer, decompile, or attempt to extract source code from our application
- Use our Services in any manner that could damage, disable, or impair our systems
- Misrepresent your identity or affiliation with any entity
6. Data Use and Compliance
6.1 Our Data Practices: We access and use your Amazon seller data only as described in our Privacy Policy and only for the purposes of providing the Services.
6.2 Amazon Compliance: Our Services are designed to comply with Amazon's SP-API policies and terms. You acknowledge that Amazon may modify its policies, and we may need to adjust our Services accordingly.
6.3 Your Data Obligations: You are responsible for ensuring that your use of our Services and the data you provide comply with all applicable laws, including data protection and privacy laws.
7. Intellectual Property
7.1 Our Property: All intellectual property rights in our Services, including software, documentation, trademarks, and content, are owned by eBooth or our licensors. These Terms do not grant you any ownership rights in our Services.
7.2 Your Data: You retain all ownership rights in your Amazon seller data. By authorizing our application, you grant us a limited license to access, process, and store your data solely to provide the Services.
8. Service Availability and Modifications
8.1 Availability: We strive to provide reliable and uninterrupted Services, but we do not guarantee that our Services will be available at all times or free from errors. We may suspend or restrict access to our Services for maintenance, updates, or other operational reasons.
8.2 Modifications: We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We may also modify these Terms from time to time. Continued use of our Services after changes constitutes acceptance of the modified Terms.
9. Fees and Payment
Our Services are currently provided to affiliated businesses under separate commercial agreements. These Terms do not establish any payment obligations unless separately agreed in writing.
10. Disclaimers and Limitations of Liability
10.1 Disclaimer of Warranties: OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10.2 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, EBOOTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.3 Maximum Liability: IN NO EVENT SHALL EBOOTH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100.00).
10.4 Amazon Relationship: We are not affiliated with, endorsed by, or sponsored by Amazon. Amazon is not responsible for our Services or any issues arising from your use of our Services.
11. Indemnification
You agree to indemnify, defend, and hold harmless eBooth, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of our Services
- Your violation of these Terms
- Your violation of any applicable laws or third-party rights
- Your Amazon seller data or activities
12. Termination
12.1 Termination by You: You may terminate your use of our Services at any time by revoking authorization through your Amazon Seller Central account settings.
12.2 Termination by Us: We may suspend or terminate your access to our Services at any time, with or without cause or notice, including if we believe you have violated these Terms or applicable laws.
12.3 Effect of Termination: Upon termination, your right to use our Services will immediately cease. We will handle your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.
13. Governing Law and Dispute Resolution
13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law principles.
13.2 Venue: Any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in Benton County, Washington, and you consent to the personal jurisdiction of such courts.
13.3 Dispute Resolution: Before filing any legal action, you agree to attempt to resolve any dispute informally by contacting us at support@eboothsoftware.com.
14. General Provisions
14.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and eBooth regarding the Services and supersede all prior agreements and understandings.
14.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.3 Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
14.4 Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
14.5 No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
